Welcome to Cultverse! These Terms of Service ("Terms") constitute a legally binding agreement between you and Cultverse ("we," "our," or "us"). They govern your access to and use of our website at cultverse.ai, our mobile applications, and all related services, features, content, and functionality (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY. By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Services.

1. Acceptance of Terms

By accessing or using the Services, connecting your wallet, creating an account, or clicking "I agree" or similar, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

These Terms include our Privacy Policy and Cookie Policy, which are incorporated by reference.

2. Eligibility

To use the Services, you must:

  • Be at least 13 years of age (or the minimum age required in your jurisdiction);
  • Have the legal capacity to enter into a binding agreement;
  • Not be prohibited from using the Services under applicable law;
  • Not have been previously suspended or removed from the Services.

If you are under 13 years of age, do not use the Services. By using the Services, you represent and warrant that you meet all eligibility requirements.

3. Account and Wallet Authentication

Sign-In With Ethereum (SIWE)

The Services use Sign-In With Ethereum (SIWE) for authentication. Your blockchain wallet address serves as your primary identifier. Wallet ownership proves control of your account but does not identify you personally.

Account Security

You are solely responsible for:

  • Maintaining the security of your wallet and private keys;
  • All activities that occur under your account;
  • Notifying us immediately of any unauthorized access or security breaches.

We are not responsible for any loss or damage arising from your failure to secure your wallet or from unauthorized access to your account.

4. Gems Economy

Cultverse features an internal points system called "Gems." By using the Gems feature, you acknowledge and agree:

  • No Monetary Value: Gems have no real-world monetary value, cannot be exchanged for cash, and are not redeemable for any sum of money.
  • Non-Transferable: Gems cannot be transferred, sold, or traded to other users except as expressly permitted within the Services.
  • Non-Refundable: Gems are non-refundable. Gems spent on raffle entries or other features cannot be recovered.
  • Internal Use Only: Gems may only be used within the Services for features such as entering raffles.
  • Subject to Change: We reserve the right to modify the Gems system, earning rates, costs, and features at any time without prior notice.
  • No Property Rights: You have no ownership, property, or other rights in Gems. We may expire, revoke, or adjust Gem balances at our discretion.

5. Raffles

Cultverse offers on-chain raffles that users can enter using Gems. By participating in raffles, you acknowledge and agree:

  • Entry Mechanics: Raffle entries are purchased with Gems. Each raffle specifies its entry cost and maximum entries per user.
  • On-Chain Execution: Winners are selected through a smart contract on the Monad blockchain, ensuring transparent and verifiable random selection.
  • No Guarantee of Winning: Entering a raffle does not guarantee winning. The probability of winning depends on the total number of entries.
  • Prize Distribution: Prizes are distributed according to the terms specified for each raffle. Some prizes may require additional verification or eligibility.
  • Not Gambling: Raffles are intended as promotional activities. Gems have no monetary value, and participation is for entertainment purposes only.
  • Compliance: You are responsible for ensuring your participation complies with local laws and regulations. We make no representation that raffles are legal in all jurisdictions.

6. NFTs and Digital Assets

The Services may involve non-fungible tokens (NFTs) and other digital assets. By interacting with NFTs on our platform, you acknowledge and agree:

  • No Investment Advice: Nothing in the Services constitutes financial, investment, legal, or tax advice. NFTs are speculative and may lose value.
  • No Guarantee of Value: We make no representations about the current or future value of any NFT. Prices are highly volatile.
  • Blockchain Risks: You understand the risks associated with blockchain technology, including but not limited to network congestion, gas fees, smart contract vulnerabilities, and regulatory uncertainty.
  • Your Responsibility: You are solely responsible for your decisions to buy, sell, hold, or interact with NFTs.
  • NFT-Based Benefits: Certain NFTs (such as Omni Nads or Cult Bears) may grant premium access to Services. These benefits are subject to change and may be modified or discontinued.

7. Premium Subscriptions

We offer premium subscription plans that provide enhanced features. By subscribing, you agree:

  • Billing: Subscriptions are billed on a recurring basis (monthly or as specified) until cancelled. You authorize us to charge your payment method automatically.
  • Price Changes: We may change subscription prices with at least 30 days' notice. Continued use after price changes constitutes acceptance.
  • Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.
  • Feature Changes: Premium features may change at any time. We will make reasonable efforts to maintain core functionality.
  • NFT-Based Access: Premium access granted through NFT ownership is subject to continued ownership of qualifying NFTs and may be modified or discontinued.

8. AI Companion Interactions

The Services include AI-powered companions. By interacting with AI companions, you acknowledge and agree:

  • Not Real People: AI companions are computer-generated characters, not real people. They do not have feelings, consciousness, or genuine relationships.
  • No Professional Advice: AI companions do not provide medical, legal, financial, psychological, or other professional advice. Do not rely on AI responses for important decisions.
  • Unpredictable Outputs: AI may generate responses that are inaccurate, inappropriate, offensive, or unexpected. We do not endorse or guarantee the accuracy of AI outputs.
  • Entertainment Only: AI companions are intended for entertainment purposes. They should not be used as a substitute for real human connection, professional help, or emergency services.
  • Content Responsibility: You are responsible for the content of your messages. Do not share sensitive personal information, illegal content, or content that violates these Terms.
  • No Endorsement: Statements made by AI companions do not represent the views, opinions, or endorsements of Cultverse.

9. User Conduct

You agree not to engage in any of the following prohibited activities:

  • Violating any applicable laws, regulations, or third-party rights;
  • Submitting content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable;
  • Submitting content involving minors in any harmful or inappropriate context;
  • Impersonating any person or entity, or falsely representing your affiliation;
  • Attempting to manipulate the Gems system, raffles, or leaderboards through automation, fraud, or exploitation;
  • Using bots, scripts, or automated tools to interact with the Services without authorization;
  • Interfering with or disrupting the Services, servers, or networks;
  • Attempting to access accounts, systems, or data without authorization;
  • Reverse engineering, decompiling, or attempting to derive source code from the Services;
  • Circumventing security features or technical measures;
  • Collecting user information without consent;
  • Using the Services for spam, phishing, or distributing malware;
  • Any other activity that we determine, in our sole discretion, to be harmful to Cultverse, its users, or the integrity of the Services.

We reserve the right to investigate and take appropriate action against anyone who violates these prohibitions, including removing content, suspending or terminating accounts, and reporting to law enforcement.

10. User Content

Your Responsibility

You are solely responsible for all content you submit to the Services, including profile information, chat messages, feedback, and any other user-generated content. You represent that you have all necessary rights to submit such content.

License Grant

By submitting content to the Services, you grant Cultverse a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, display, and distribute your content in connection with operating and improving the Services.

Content Moderation

We reserve the right (but have no obligation) to review, edit, or remove any content at our sole discretion. We may use automated and manual measures to identify content that violates these Terms.

11. Intellectual Property

Our Intellectual Property

The Services and all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio, software, and the design and arrangement thereof) are owned by Cultverse or its licensors and are protected by intellectual property laws. The Cultverse name, logo, and all related marks are trademarks of Cultverse.

Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.

Restrictions

You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Services without our prior written consent.

12. Third-Party Services and Links

The Services may contain links to third-party websites, applications, or services, and may integrate with third-party platforms (such as Discord, X/Twitter, and blockchain networks). We do not control and are not responsible for:

  • The content, privacy policies, or practices of third-party services;
  • The availability or functionality of third-party services;
  • Any transactions you conduct with third parties;
  • Any damages or losses arising from your use of third-party services.

Your use of third-party services is governed by their respective terms and policies.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that:

  • The Services will meet your requirements or expectations;
  • The Services will be uninterrupted, timely, secure, or error-free;
  • Any information or content obtained through the Services will be accurate or reliable;
  • Any defects or errors will be corrected;
  • AI outputs will be accurate, appropriate, or suitable for any purpose.

You assume all risk for your use of the Services, including interactions with AI companions and participation in blockchain-based features.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CULTVERSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising from:

  • Your use of or inability to use the Services;
  • Any content or conduct of other users or third parties;
  • AI-generated content or responses;
  • Unauthorized access to or alteration of your data;
  • Loss of Gems, raffle entries, or digital assets;
  • Any blockchain-related issues, including smart contract failures;
  • Any other matter relating to the Services.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US (IF ANY) IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Cultverse and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your content.

16. Termination

Termination by You

You may stop using the Services at any time. To delete your account and associated data, please contact us at tom@cultverse.ai.

Termination by Us

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice, including if we reasonably believe you have violated these Terms. We may also discontinue the Services entirely at any time.

Effect of Termination

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability. Gems and other in-Service benefits are forfeited upon termination.

17. Governing Law and Dispute Resolution

Governing Law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles.

Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at tom@cultverse.ai and attempt to resolve the dispute informally for at least 30 days.

Jurisdiction

If informal resolution fails, you agree to submit to the exclusive jurisdiction of the courts of Singapore for any dispute, controversy, or claim arising out of or relating to these Terms or the Services.

18. Changes to Terms

We may modify these Terms at any time. For material changes, we will provide at least 30 days' notice by posting the updated Terms on our website, updating the "Last updated" date, and/or sending you a notification.

Your continued use of the Services after the effective date of changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.

19. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Cultverse regarding the Services and supersede all prior agreements.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • No Third-Party Beneficiaries: These Terms do not confer any rights on any third party.
  • Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control.
  • Headings: Section headings are for convenience only and do not affect the interpretation of these Terms.
